ORIX to Acquire AerFin, a UK-based Aviation Part-Out & Aftermarket Company
- Enters the Aviation Aftermarket Business and Advances Asset Management Goals -

TOKYO, Japan – August 3, 2026 – ORIX Corporation (“ORIX”) announced today that its aircraft leasing subsidiary ORIX Aviation Systems Limited (“ORIX Aviation”) has entered into an agreement for the sale and purchase of the entire issued share capital of AerFin Limited (“AerFin”) with the existing shareholders. ORIX Aviation plans to complete this transaction by the end of 2026, subject to the receipt of required regulatory approvals. This investment marks the entry of ORIX into the aviation aftermarket business, which plays a key role in the used serviceable material (USM) segment covering airframe and engine parts.

AerFin is a UK-based aviation aftermarket business, founded in 2010, that helps airlines, lessors and MROs maximise the value of aircraft, engines and parts across their lifecycle. The company buys, sells, leases and repairs aircraft, engines and components, using its deep aftermarket expertise to return serviceable material to the aviation supply chain.
Trusted by more than 600 customers worldwide, AerFin combines global reach with an integrated operating model spanning acquisition, disassembly, inspection, inventory management, repair and parts supply. This approach enables AerFin to extend the operational life of aircraft material, support lower-cost supply for customers and help keep fleets flying.

ORIX entered the aircraft leasing business in 1978 and currently owns and manages over 230 aircraft through its subsidiary ORIX Aviation. ORIX Aviation was established in 1991 and, in addition to its own fleet, provides comprehensive asset management services to Japanese and international investors and funds, through the operation of its full-service operating lease platform, covering everything from aircraft acquisition to operation and maintenance monitoring, re-leasing, and sales. In 2018, ORIX acquired a 30% shareholding*1 in Avolon Holdings Limited, a leading global aircraft leasing company located in Ireland, expanding its business to include leasing services for newly built aircraft.

With this share acquisition, ORIX will be able to incorporate AerFin’s asset valuation expertise for aircraft parts and engines, enabling it to maximize asset value across the aircraft lifecycle, including part-out, in addition to its traditional aircraft leasing and asset management businesses. Additionally, by drawing on the domestic Japanese and international sales networks of ORIX and ORIX Aviation, AerFin will be able to serve a broader range of customers, while ORIX and ORIX Aviation will support the further growth of AerFin’s aftermarket business. With AerFin joining ORIX Group, ORIX aims to expand its service offering across the aircraft value chain – from new aircraft leasing to post-retirement parts utilization – and to enhance the sophistication of asset management services in the aircraft business.

In 2025, global air passenger demand increased 5.3% year-on-year, reaching a record high*2. At the same time, shortages of new aircraft and replacement parts have persisted due to production and supply chain disruptions and labor shortages, extending the service lives of aircraft fleets. Alongside the increasing acceptance of and demand for used replacement parts, the aftermarket business plays a growing and increasingly important role in supporting the aviation ecosystem.

This move will also help support the continued growth of ORIX’s asset management business, which is one of the key initiatives in its long-term vision*3. Additionally, the acquisition forms part of the company’s circular economy initiatives under one of its strategic focus areas, “IMPACT”, by helping deliver positive impact for a planet with limited resources through the reuse of aircraft parts.
