ORIX-VINCI Airports Consortium Executed the Basic Agreement for the Kansai International Airport and Osaka (Itami) International Airports Concession

Tokyo Japan - November 20, 2015 - ORIX Corporation ("ORIX") and VINCI Airports S.A.S ("VINCI Airports") today announced that the consortium (the "Consortium"), in which both companies being its core members, has executed the Basic Agreement with New Kansai International Airport Company, Ltd. ("NKIAC") after being selected as a preferred negotiation right holder as of November 10, 2015 in the selection procedures for the operating right holder in the "Qualified Project Etc. for Airport Operation of Kansai International Airport and Osaka International Airport" (the "Project") implemented by NKIAC.

By the end of 2015, ORIX and VINCI Airports plan to establish a special-purpose company as the concessionaire company (the "Concessionaire"), and have the Agreement Concerning the Implementation of the Right to Operate Public Facilities Etc. (the "Project Agreement") executed between the Concessionaire and NKIAC. The right of operating the two airports will be transferred to the Concessionaire as of the end of March 2016. The operation hand-over of the airports from NKIAC to the Concessionaire will take place on April 1, 2016, making it the first airport operation by the private companies in Japan.
